INTRODUCTION

The specific scope, timeline, deliverables, and cost of each project are agreed upon separately through a project proposal or service agreement signed by both parties.
PROJECT AGREEMENTS
All projects undertaken by Indusbyte are governed by a separate project agreement or statement of work (SOW). This agreement will outline:
- Project scope and deliverables
- Timeline and milestones
- Payment terms and schedule
- Revision and change request policy
- Intellectual property ownership
In the event of any conflict between these Terms and Conditions and a specific project agreement, the project agreement shall take precedence.
PAYMENT TERMS
4.1 Indusbyte accepts payments both online (via secure payment gateway) and via bank transfer or invoice.
4.2 Payment schedules are agreed upon in the project proposal. Typically, projects require an advance payment before work commences.
4.3 All prices quoted are exclusive of applicable taxes unless stated otherwise. Goods and Services Tax (GST) will be applied where required under Indian law.
4.4 Late payments may result in suspension of work until outstanding amounts are settled.
4.5 Refunds, if applicable, are governed by the terms outlined in the individual project agreement.
INTELLECTUAL PROPERTY
5.1 Upon receipt of full and final payment, all intellectual property rights for the deliverables created specifically for the client shall transfer to the client, unless otherwise agreed in writing.
5.2 Indusbyte retains the right to use general methodologies, frameworks, tools, and pre-existing code libraries used in the development of your project.
5.3 Indusbyte reserves the right to display completed projects in its portfolio unless the client requests confidentiality in writing.
5.4 The Indusbyte name, logo, website content, and branding are the exclusive intellectual property of Indusbyte and may not be used without written permission.
CLIENT RESPONSIBILITIES
The client agrees to:
- Provide accurate and complete project requirements in a timely manner
- Review and provide feedback within agreed timeframes
- Ensure all content, assets, and materials provided to Indusbyte do not infringe any third-party intellectual property rights
- Make payments as per the agreed schedule
- Nominate a point of contact for project communication
REVISIONS AND CHANGE REQUESTS
The number of revisions included in a project is outlined in the project proposal. Additional revisions or changes beyond the agreed scope may incur additional charges. Any changes to the project scope must be agreed upon in writing by both parties before work commences.
TIMELINES AND DELAYS
8.1 Indusbyte is committed to delivering all projects on time as agreed in the project proposal.
8.2 Timelines are dependent on the client providing timely feedback, approvals, and required materials. Delays caused by the client may result in revised delivery dates.
8.3 Indusbyte will not be held liable for delays caused by circumstances beyond our reasonable control, including but not limited to technical failures, natural disasters, or force majeure events.
CONFIDENTIALITY
Both parties agree to keep confidential any sensitive business information shared during the course of the project. Indusbyte will not disclose any confidential client information to third parties without prior written consent, except where required by law.
LIMITATION OF LIABILITY
10.1 Indusbyte's total liability to the client for any claim arising out of or in connection with our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
10.2 Indusbyte shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or loss of business opportunity.
10.3 Indusbyte does not guarantee specific business outcomes, rankings, or results from digital marketing or SEO services, as these are subject to third-party platforms and market conditions.
TERMINATION
11.1 Either party may terminate a project agreement with written notice, subject to the terms outlined in the individual project agreement.
11.2 In the event of termination, the client shall pay for all work completed up to the date of termination.
11.3 Indusbyte reserves the right to terminate services immediately in the event of non-payment or breach of these terms by the client.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and Conditions are governed by the laws of India. Any disputes arising out of or in connection with these terms or our services shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in India.
WEBSITE USE
13.1 You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others.
13.2 You must not attempt to gain unauthorised access to any part of our website or systems.
13.3 Indusbyte reserves the right to suspend or restrict access to the website at any time without notice.
